• "Platform" means the Suddeco Marketplace website and all associated services.
• "Suddeco AI" means the AI-powered construction management platform at my.suddeco.com.
• "Homeowner" means any individual using the Platform to find professionals or create construction projects.
• "Professional" means any contractor, builder, architect, or trade professional registered on the Platform.
• "Service Provider" means any company or individual providing construction-related services through the Platform.
• "Credits" means the digital currency used to access AI-powered features on the Platform.
• "Scope of Works" means the AI-generated project specification document produced by Suddeco AI.

3. Services

Suddeco Marketplace provides a platform that connects homeowners with construction professionals, service providers, and subcontractors. Our services include:

• AI-powered scope of works generation via Suddeco AI
• Professional directory and matching services
• Project showcase browsing and inspiration
• Cost estimation tools
• Messaging between homeowners and professionals
• SuddecoProtect escrow payment services
• Credit-based access to premium AI features

4. Account Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

5. Homeowner Terms

As a homeowner using the Platform, you acknowledge and agree that:

• AI-generated scopes of works are estimates and should be verified by qualified professionals before commencing any construction work.
• Cost estimates provided by the Platform are indicative only and may vary based on actual site conditions, material availability, and market fluctuations.
• Suddeco does not employ or directly supervise any professionals listed on the Platform. All professionals are independent contractors.
• You are responsible for conducting your own due diligence when selecting a professional, including verifying qualifications, insurance, and references.
• Credits purchased are non-refundable except as required by applicable consumer protection laws.
• Project data you submit may be processed by AI systems to generate scopes and estimates.

6. Professional Terms

As a professional using the Platform, you acknowledge and agree that:

• You must hold all necessary licences, qualifications, and insurance required for the services you offer.
• You are responsible for the accuracy of your profile information, portfolio, and pricing.
• You will respond to homeowner enquiries in a timely and professional manner.
• Suddeco may verify your credentials and reserves the right to remove profiles that do not meet our standards.
• Subscription fees are subject to the terms of your chosen membership plan.

7. Credits & Payments

Credits are used to access AI-powered features including scope generation, drawing analysis, and cost estimation. Credit packages are available for purchase through our secure payment provider (Stripe).

• All prices are displayed in GBP and include VAT at the prevailing rate (currently 20%).
• Credits are non-transferable between accounts.
• Unused credits do not expire but may be subject to account inactivity policies.
• Refunds for credits are handled in accordance with the Consumer Rights Act 2015.

8. SuddecoProtect

SuddecoProtect is our escrow payment service designed to protect both homeowners and professionals. Funds are held securely and released upon milestone completion as agreed between parties. Full terms of the SuddecoProtect service are available on the dedicated SuddecoProtect page.

9. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, software, and AI-generated content, is the property of Suddeco Limited or its licensors and is protected by intellectual property laws.

Homeowners retain ownership of their project data and uploaded drawings. By using the Platform, you grant Suddeco a licence to process this data for the purpose of providing our services.

10. Limitation of Liability

To the maximum extent permitted by law, Suddeco Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

Suddeco does not guarantee the accuracy of AI-generated content, cost estimates, or professional recommendations. All construction work should be supervised by qualified professionals.

11. Dispute Resolution

In the event of a dispute between a homeowner and a professional, we encourage parties to resolve the matter directly. Suddeco may offer mediation services but is not obligated to do so.

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify registered users of material changes via email or through the Platform. Continued use of the Platform after changes constitutes acceptance of the revised terms.
